Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sinewave ("Sinewave," "we," "us," or "our") governing your access to and use of the Sinewave website, mobile application, and all related services (collectively, the "Service"). These Terms apply to all users, including listeners, artists, and visitors.
If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Eligibility
You must be at least 13 years of age to use the Service. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the Service, you represent and warrant that you meet all eligibility requirements.
3. Accounts
3.1 Registration
To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your information updated.
3.2 Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@sinewavemusic.io of any unauthorized use of your account.
3.3 One Account Per Person
You may not create multiple accounts to circumvent restrictions, manipulate play counts, or defraud the platform or other users.
3.4 Termination of Account
We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to other users, artists, Sinewave, or third parties.
4. The Service — Listener Terms
4.1 Pay-Per-Stream
Sinewave operates on a pay-per-stream model. Listeners are charged approximately $0.01 per track streamed. All charges are final and non-refundable except as required by applicable law or as described in Section 4.3.
4.2 Sinewave Plus
Listeners may subscribe to Sinewave Plus for unlimited streaming at a flat monthly rate. Subscription terms, pricing, and cancellation policies are presented at the time of purchase and are incorporated herein by reference. Subscriptions auto-renew unless cancelled before the renewal date.
4.3 Acceptable Use
You agree not to: stream music using automated bots, scripts, or artificial means; attempt to circumvent payment systems; record, download, or reproduce streamed audio except through features explicitly provided by Sinewave; or share your account credentials with others.
5. Payments and Transactions
5.1 Payment Methods
Sinewave supports payment via credit/debit card, cryptocurrency wallets, and other methods as displayed in the Service. By providing payment information, you authorize Sinewave to charge the applicable fees.
5.2 Blockchain Transactions
Certain transactions on Sinewave are processed via blockchain networks. Blockchain transactions are irreversible. Sinewave is not responsible for errors in wallet addresses entered by users. You are solely responsible for ensuring the accuracy of any blockchain transaction you initiate.
5.3 Taxes
You are solely responsible for any taxes applicable to your transactions. Sinewave may be required to collect and remit taxes in certain jurisdictions and will do so where required by law.
5.4 Disputes
Payment disputes must be submitted to support@sinewavemusic.io within 30 days of the disputed charge. Sinewave reserves the right to investigate and resolve disputes at its sole discretion. Chargebacks initiated without first contacting Sinewave support may result in account suspension.
6. Intellectual Property — User Content
6.1 Ownership
You retain all ownership rights in content you upload to Sinewave ("User Content"). By uploading User Content, you grant Sinewave a non-exclusive, worldwide, royalty-free license to host, store, transcode, display, and distribute your User Content solely for the purpose of operating and providing the Service.
6.2 Your Representations
By uploading User Content, you represent and warrant that: you own or have all necessary rights, licenses, and permissions to upload and distribute the content; your content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party; and your content complies with all applicable laws.
6.3 Prohibited Content
You may not upload content that is infringing on any third party's copyright, trademark, or other intellectual property rights; defamatory, obscene, or violates any applicable law; or malware, spam, or otherwise harmful to the Service or its users.
7. Copyright and DMCA
Sinewave respects intellectual property rights. If you believe content on the Service infringes your copyright, you may submit a DMCA takedown notice to our designated agent at legal@sinewavemusic.io.
Your notice must include: (i) identification of the copyrighted work claimed to be infringed; (ii) identification of the infringing material and its location on the Service; (iii) your contact information; (iv) a statement of good faith belief that the use is not authorized; (v) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner; and (vi) your physical or electronic signature.
Counter-notices may be submitted in accordance with the DMCA. Repeat infringers will have their accounts terminated.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SINEWAVE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
YOU ACKNOWLEDGE THAT YOU USE THE SERVICE AT YOUR OWN RISK. SINEWAVE MAKES NO WARRANTY THAT PURCHASED OR STREAMED CONTENT WILL BE AVAILABLE INDEFINITELY. ARTISTS MAY REMOVE THEIR CONTENT AT ANY TIME. SINEWAVE DOES NOT GUARANTEE THE QUALITY, ORIGINALITY, OR AUTHENTICITY OF ANY ARTIST'S CONTENT.
SINEWAVE IS A TECHNOLOGY PLATFORM. WE ARE NOT A RECORD LABEL, MUSIC PUBLISHER, OR DISTRIBUTOR. WE DO NOT ENDORSE, VERIFY, OR REPRESENT ANY ARTIST OR THEIR CONTENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SINEWAVE, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, ANY CONTENT OBTAINED FROM THE SERVICE, UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA, ANY BLOCKCHAIN TRANSACTION ERRORS OR LOSSES, OR ANY OTHER MATTER RELATED TO THE SERVICE.
IN NO EVENT WILL SINEWAVE'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID TO SINEWAVE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (ii) ONE HUNDRED DOLLARS ($100.00).
10. Indemnification
You agree to indemnify, defend, and hold harmless Sinewave and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of another person or entity.
11. Third-Party Services
The Service may integrate with or link to third-party services (e.g., payment processors, blockchain networks, wallet providers). Sinewave is not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party services is subject to their respective terms and policies.
12. Modifications to the Service
Sinewave reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
13.2 Informal Resolution
Before filing a formal claim, you agree to contact us at legal@sinewavemusic.io and attempt to resolve the dispute informally. We will try to resolve the dispute within 30 days.
13.3 Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in English.
13.4 Class Action Waiver
YOU AND SINEWAVE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
14. General Provisions
14.1 Entire Agreement
These Terms, together with the Privacy Policy and Artist Agreement (where applicable), constitute the entire agreement between you and Sinewave regarding the Service.
14.2 Severability
If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
14.3 Updates to Terms
We may update these Terms from time to time. We will notify you of material changes via email or in-app notice. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
